7. Payment Terms

Payment terms will be specified in individual service agreements. Generally, payment is due within 30 days of invoice date unless otherwise agreed. Late payments may be subject to interest charges as permitted by law.

8. Termination

Either party may terminate the professional relationship with reasonable notice. Upon termination, we will provide client files and information as required by professional standards and applicable law. Fees for services rendered prior to termination remain due and payable.

9. Intellectual Property

All methodologies, processes, templates, and proprietary materials developed by Valoria Consulting remain our intellectual property. Clients receive a limited license to use deliverables for their intended business purposes.

10. Dispute Resolution

Any disputes arising from these terms or our professional relationship shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in our primary business location.

11. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of any changes.

12. Governing Law

These Terms of Service are governed by the laws of the jurisdiction in which Valoria Consulting is primarily located, without regard to conflict of law principles.
